Terms of Service

1. Acceptance of Terms

By accessing or using Ugly Site Scraper (“the Service”), provided by Sobojinski Solutions LLC (“we,” “us,” “our”), you (“you,” “user”) agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Ugly Site Scraper is a business-to-business (B2B) sales intelligence tool. The Service queries the Google Places API and scrapes publicly available business information from business websites to help users identify potential business prospects. The Service operates on a credit-based system.

The Service is intended exclusively for B2B use. The Service is not intended for and may not be used to identify, contact, or compile information about consumers in a personal capacity.

3. Account Registration

You must provide a valid email address and create a password to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must be at least 18 years old to create an account.

4. Credits and Payments

The Service operates on a monthly subscription basis. The following terms apply to credits and payments:

• Subscription plans: The Service is offered on three monthly subscription plans — Basic, Ugly, and Hideous — each with a different monthly credit allocation and feature set.
• Monthly credits: Each plan includes a monthly credit allocation that resets at the start of each billing period. Credits are deducted per search result successfully delivered.
• Credit rollover: Unused monthly credits roll over for one billing period only. Your total available balance of subscription and rollover credits will not exceed 2x your monthly plan allowance. Credits exceeding this cap are forfeited at renewal.
• Additional credit packs: Supplemental credit packs may be purchased separately. These credits do not expire while your subscription is active and are frozen if your subscription is cancelled. Frozen credits are restored if you resubscribe.
• Cached results: Searches for the same niche and city within 30 days return cached results at no additional credit cost.
• Search result snapshots: Search results are stored for 30 days and can be viewed in Past Searches at no additional cost. After 30 days result data is automatically deleted and a new search is required.
• Pricing and taxes: Prices are listed in U.S. dollars. Where required by law, applicable sales tax, VAT, or GST will be added at checkout.
• Non-transferable: Credits are non-transferable and have no cash value except as described in the Refund Policy.

5. Refund Policy

Our full Refund Policy is available at uglysitescraper.com/refund and is incorporated into these Terms by reference. In the event of any conflict between this section and the Refund Policy, the Refund Policy governs.

6. Acceptable Use

You agree to use the Service lawfully and ethically. Specifically, you agree:

6.1 General

• Not to use the Service for any unlawful purpose, harassment, defamation, or fraud.
• Not to attempt to bypass credit requirements or exploit the caching system.
• Not to use automated tools to access the Service beyond normal usage patterns.
• Not to resell, redistribute, or republish bulk data obtained through the Service except as expressly permitted under these terms.
• Not to reverse engineer, decompile, or attempt to extract the source code of the Service.

6.2 Lawful outreach (your responsibility)

Data obtained through the Service may include personal data of business contacts. You are solely responsible for ensuring your use of that data complies with all applicable laws in the jurisdictions where you operate and where the recipients are located. This includes, without limitation:

• CAN-SPAM Act (United States) — accurate sender information, no deceptive subject lines, clear opt-out mechanism, honoring opt-out requests within 10 business days, and a valid physical postal address in every commercial message.
• CASL (Canada) — express or implied consent before sending commercial electronic messages, sender identification, and opt-out mechanism.
• GDPR / UK GDPR (EU and UK) — establishing a lawful basis for any further processing or contact of EU/UK residents, honoring data subject rights, and complying with the ePrivacy Directive’s rules on direct electronic marketing.
• TCPA (United States) — restrictions on automated phone calls and SMS to wireless numbers.
• Local equivalents in any other jurisdiction where you operate or contact recipients.

You acknowledge that the Service is a research and discovery tool. The Service does not send any outreach on your behalf. Any outreach you conduct is your activity, not ours, and the legal responsibility for that outreach is yours alone.

6.3 B2B only

You agree to use data obtained through the Service exclusively for B2B prospecting and research. You will not use the Service to compile or contact lists of consumers, individuals in a personal capacity, or for any non-business purpose.

6.4 Indemnification for unlawful outreach

You agree to indemnify and hold harmless Sobojinski Solutions LLC from any claims, damages, fines, or legal costs arising from your use of data obtained through the Service in violation of any law, including but not limited to spam, privacy, or telecommunications laws.

7. Data Accuracy

The Service aggregates publicly available data from third-party sources. We do not guarantee the accuracy, completeness, or timeliness of business information, email addresses, or website quality scores. AI-generated quality scores are approximations and should not be relied upon as definitive assessments. You are responsible for independently verifying any data you act upon.

8. Intellectual Property

The Service, including its software, design, branding, AI-generated commentary, and aggregated metadata, is owned by Sobojinski Solutions LLC and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your subscription period.

The underlying business data returned by searches is not owned by us. It is sourced from third-party services and public websites, each subject to its own terms.

9. Privacy

Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.

10. Limitation of Liability

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Sobojinski Solutions LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of revenue, data, business opportunities, or goodwill, arising from your use of the Service. Our total aggregate liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Termination

We reserve the right to suspend or terminate your account at any time for violation of these terms, including violations of Section 6 (Acceptable Use). Upon termination for cause, unused credits are forfeited. Upon termination by you for any reason, unused credits are forfeited unless eligible for refund under Section 5.

12. Changes to Terms

We may update these terms at any time. Material changes will be communicated to active users by email or in-app notification. Continued use of the Service after changes constitutes acceptance of the updated terms.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Wisconsin, USA, without regard to its conflict of laws principles. Any dispute arising from or related to the Service or these Terms shall be resolved in the state or federal courts located in Winnebago County, Wisconsin, and you consent to the personal jurisdiction of those courts.

If you are a consumer in the European Union or United Kingdom, the foregoing does not deprive you of any mandatory consumer protection rights you have in your jurisdiction.
